On January 24, 2024, the U.S. Securities and Exchange Commission (the “sec”) adopted new rules and guidance affecting initial public offerings (“ipos”) of special purpose acquisition companies (“spacs”) and business combinations between SPACs and private company targets (“de-SPAC transactions”). The rules will become effective 125 days after publication in the Federal Register.
