Nocturne Acquisition Corporation announced the pricing of its $100 million IPO and its units are expected to begin trading on the Nasdaq under the symbol “MBTCU”, Wednesday, March 31.

The new company aims to combine with a disruptive technology target valued at $300 million to $1 billion with blockchain or AI innovations. Nocturne is led by Chairman and CEO Henry Monzon and CFO Ka Seng Ao.

Total SPAC deal count for 2021 year-to-date is now 298. This offering is expected to close on Monday, April 5.

Chardan is acting as sole book-running manager for the offering.  Ellenoff Grossman & Schole LLP is serving as Issuer’s Counsel with Loeb & Loeb LLP serving as Underwriter’s Counsel. Marcum LLP serves as auditor. Continental Stock Transfer & Trust Company is acting as trustee.
