Malmö, Sweden — Global Gaming 555 AB : Bulletin from the 2019 Annual General Meeting (English translation)

On May 16th 2019, Global Gaming 555 AB held its Annual General Meeting for the financial year 2018. The following decisions were made, in accordance with the proposals submitted.

The AGM adopted the Annual Report, as well as discharging The Board of Directors and the CEO from liability for the financial year 2018.

The AGM supported the Board’s decision and upheld the decision not to pay dividends for the financial year 2018, but instead to carry the accumulated profit forward.

The AGM further decided on the matter of remuneration to the Board, including the Chairman of the Board, Board members, the Chairman of the Audit Committee and the Remuneration Committee, as well as the Auditor, in accordance with the Nomination Committee’s proposal.

Peter Eidensjö, Tobias Fagerlund and Adriana Hamberg were reconfirmed as board members, and Mika Leppänen and Pasi Nousiainen were appointed as new members. Peter Eidensjö was also confirmed as Chairman of the Board.

KPMG was appointed by re-election as the auditor for the period until the next AGM, with authorized public accountant Jonas Nihlberg as auditor in charge.

The Nomination Committee’s proposal regarding the appointment of a Nomination Committee for the 2020 AGM was approved.

The Board of Directors’ proposal regarding guidelines for determining salaries and other remuneration to senior executives was approved.

In accordance with the Board’s proposal, the Annual General Meeting resolved to authorize the Board of Directors to decide on the issuing of new shares, for a period stretching no further than the next Annual General Meeting. This may occur on one or more occasions and with or without preferential rights for the shareholders, and with the provision that payment shall be made in cash, in kind or by set-off of claims or on other terms.
The Board’s authorization shall be limited to emissions that entail a dilution of the company’s share capital by a maximum of 10 percent based on the number of shares at the time of the decision.
