MCAP Acquisition Corporation announced the pricing of its upsized $275 million IPO this evening and its units are expected to begin trading on the Nasdaq under the symbol “MACQU,” Friday, February 26.

The new company aims to combine with a technology-enabled business services target with attractive return potential. MCAP is led by Chairman and CEO Theodore L. Koenig, alongside Co-Presidents Zia Uddin and Mark A. Solovy and CFO Scott A. Marienau.

Total SPAC deal count for 2021 year-to-date is now 179. This offering is expected to close on Tuesday, March 2.

Cowen is serving as the sole book-running underwriter for the offering. Nelson Mullins Riley & Scarborough LLP is serving as Issuer’s Counsel with Greenberg Traurig LLP serving as Underwriter’s Counsel. Marcum LLP serves as auditor. Continental Stock Transfer & Trust Company is acting as trustee.

Fusion Acquisition Corp. II announced the pricing of its upsized $435 million IPO this evening and its units are expected to begin trading on the NYSE under the symbol “FSNB.U,” Friday, February 26.

The new company aims to combine with a fintech target valued at $1.5 billion to $5 billion generating strong cash flow. Fusion II is led by CEO John James, CFO Jeffrey Gary and Non-Executive Chairman James Ross.

Total SPAC deal count for 2021 year-to-date is now 178. This offering is expected to close on Tuesday, March 2.

SilverBox Engaged Merger Corp I announced the pricing of its $300 million IPO this evening and its units are expected to begin trading on the Nasdaq under the symbol “SBEAU,” Friday, February 26.

The new company aims to combine with a target valued over $1 billion with either recurring revenue or strong free cash flow. SilverBox I is led by Executive Chairman Joseph Reece, CEO Stephen Kadenacy, CIO Duncan Murdoch, COO Jin Chun, and CFO David Esters.

Switchback Energy (NYSE:SBE) announced that its shareholders approved its combination with electric vehicle (EV) charging network ChargePoint at a special meeting earlier today.

The deal is now expected to close tomorrow, February 26. The combined entity’s shares and warrants are set to begin trading on the NYSE under the ticker symbols “CHPT” and “CHPT WS,” respectively, beginning March 1.

Switchback Energy did not detail redemption figures in its initial press release, but they are bound to have been limited given the company opened trading this morning ahead of the vote at $34.34.

The parties initially announced their $2.4 billion combination on September 24. Campbell, California-based ChargePoint has over 115,000 charging stations and its users have access to an additional 133,000 “roaming” locations across North American and Europe.

The deal has been among the most consistently appreciated EV SPAC combinations and has traded above $29 since late November.
