Gaming & Hospitality Acquisition, a blank check company formed by Affinity Gaming targeting the gaming and hospitality sectors, filed on Friday with the SEC to raise up to $150 million in an initial public offering.
The Las Vegas, NV-based company plans to raise $150 million by offering 15 million units at $10. Each unit will consist of one share of common stock and one-third of a warrant, exercisable at $11.50. At the proposed deal size, Gaming & Hospitality Acquisition will command a market value of $194 million.
The company is led by Chairman James Zenni Jr., the founder, CEO, and Chairman of Z Capital Group and Chairman of Affinity Gaming. He is joined by CEO and Director Mary Higgins, who is currently the CEO of Affinity Gaming, and CFO Andrei Scrivens, who serves in the same role with Affinity Gaming. Gaming & Hospitality Acquisition currently plans to merge with Affinity Gaming, a diversified casino gaming company headquartered in Las Vegas, Nevada, as well as other businesses in the gaming and hospitality sectors. However, it will not complete an initial business combination with only Affinity Gaming.
Gaming & Hospitality Acquisition was founded in 2020 and plans to list on the Nasdaq under the symbol GHACU. It filed confidentially on July 31, 2020. Deutsche Bank is the sole bookrunner on the deal.

Summary of Transaction Terms
Ceres has agreed to acquire Parallel at an implied enterprise value of US$1.884 billion, and has received commitments from a group of investors in an over-subscribed PIPE of US$225 million at a price of US$10.00 per share issuable immediately prior to, and conditional on, completion of this business combination with Parallel. Substantial investment in the PIPE came from existing Parallel and Ceres investors, as well as institutions and private family offices in both the U.S. and Canada. The proceeds of the PIPE are intended to be used to fund Parallel’s continued growth and market expansion.
Following the close of the Transaction and subject to shareholder approval, Beau Wrigley will continue to serve as Parallel’s Chairman and CEO, Scooter Braun will serve as a Special Advisor, and the following individuals will constitute the Board of Directors:

Schiller, Falk Sports SPAC Pulled In Over $1 Billion in IPO Orders
Goal Acquisition, the sports-focused blank check firm formed by Harvey Schiller and David Falk, had strong investor interest during its initial public offering pricing, with enough demand to sell more than five times as many units as planned, according to two people familiar with the offering.
Goal sold 22.5 million units—consisting of one share and one warrant to buy an additional share—last week in its IPO, raising $225 million before underwriter fees, but it could have upsized and sold more than $1 billion of units based on demand from IPO investors, according to the people, who were granted anonymity because they weren’t authorized to discuss the transaction. During an IPO process, institutional investors place orders with the underwriter of the deal—EarlyBird Capital, in this case—which then decides how to distribute units and whether to alter terms of the offering. EarlyBird has the option to sell another 3.4 million units on Goal’s behalf through March to meet some of the surplus demand.
The SPAC is the latest sports-focused offering to hit the market. It’s led by well-known sports executive Harvey Schiller, who has run organizations including the YES Network, the Southeastern Conference and the U.S. Olympic Committee, and super-agent David Falk, best known for representing Michael Jordan and securing the first two $100 million player contracts in NBA history, for Alonzo Mourning and Juwan Howard.
“We were oversubscribed, and we made a decision not to upsize the offering,” said Schiller in a phone call, while declining to comment on oversubscription size. “Investors were excited and interested in our leadership team. Now, as all SPACs have to do, we’re looking for the best deal for our investors.”
Goal is seeking to acquire a business “in the professional sports teams and media sectors, including, but not limited to, related areas such as sports technology, gaming and e-sports,” it stated in its final prospectus. “We intend to target leading professional sports teams, media and brand-name companies and assets, with a particular focus on special situation assets which have significant potential for growth.” The SPAC has a large team of executives involved, including sports marketing consultant William Duffy, longtime PGA executive Donna Orender and former New York Giants lineman Bart Oates, among others.
Such high demand for Goal’s IPO probably reflects the enthusiasm for sports in the current market, driven by the expansion of sports betting in the U.S., changing fan habits and technologies for viewing games, not to mention the belief among money managers that sports represent a long-term growth opportunity. The excess IPO demand hasn’t resulted in unusual trading in the units after they hit the stock market, however. Goal’s units were recently trading at $10.56.
The level of oversubscription Goal is said to have enjoyed is notable, though it isn’t unusual for IPOs to have some level of excess demand. It’s also not unusual for very strong IPO demand to be leaked to the financial media, since it’s beneficial to everyone involved to be seen as generating enthusiasm. Recently, sports SPACs have generally been able to fill their desired level of funding and even increased the size of their IPO sale. Much of that has to do with overall market sentiment—last autumn, for instance, many SPACs slashed their IPO size to manage weaker demand.
Goal Acquisition has two years from its IPO to make an acquisition, or it will have to return its IPO capital back to shareholders.

After weeks of spiking share prices for a blank-check company rumored to be targeting the acquisition of electric-vehicle company Lucid Motors, the two parties officially announced a deal Monday afternoon, and the stock sank sharply.
Lucid, a buzzy potential Tesla Inc. TSLA, -8.55% rival, agreed to combine with Churchill Capital Corp. IV CCIV, +8.37%, a special-purpose acquisition company, or SPAC, also known as a blank-check company. SPACs have become extremely popular during the COVID-19 pandemic, and have been used repeatedly in the electric-vehicle and related sectors amid a phenomenal rise in Tesla’s valuation.
Lucid and Churchill announced Monday afternoon that they will combine at a transaction equity value of $11.75 billion, and have attracted private investment in the deal at $15 a share that implies a valuation of $24 billion. The private investment in a public equity deal, known as a PIPE, and cash from Churchill will provide roughly $4.4 billion in total funding to Lucid, the parties reported.
The rumors that the deal would happen had sent Churchill shares much higher than the levels detailed in Monday’s announcement, however, and shares dove more than 25% in after-hours trading. Shares closed Monday at $57.37. Like all SPACs, Churchill went public at a per-share price of $10, with most of the gains coming after reports of discussions between Lucid and Churchill.
Lucid is based in Newark, Calif., a San Francisco Bay Area city next door to Tesla’s original factory in Fremont. Chief Executive Peter Rawlinson, who will continue to lead the company after the transaction closes, was the chief engineer on Tesla’s Model S before leaving for Lucid.
“Lucid is going public to accelerate into the next phase of our growth as we work towards the launch of our new pure-electric luxury sedan, Lucid Air, in 2021 followed by our Gravity performance luxury SUV in 2023,” Rawlinson said in a statement. “Financing from the transaction will also be used to support expansion of our manufacturing facility in Arizona, which is the first greenfield purpose-built EV manufacturing facility in North America, and is already operational for pre-production builds of the Lucid Air.”
Lucid expects to more than double its U.S. workforce after the investment, from about 2,000 workers currently to roughly 5,000 by the end of 2022.
Lucid will now be backed by a legion of heavy hitters beyond its already sizable investment from Saudi Arabia’s Public Investment Fund, which is also investing in the PIPE. Others involved in the investment include “funds and accounts managed by BlackRock, Fidelity Management & Research LLC, Franklin Templeton, Neuberger Berman, Wellington Management and Winslow Capital Management LLC,” according to Monday’s announcement, which claimed it would be the largest ever SPAC-related common stock PIPE.
Investors in the PIPE agreed not to sell their shares until Sept. 1 or the shares are registered, whichever is later. Existing investors will face a six-month lockup on their shares. Churchill’s sponsor has agreed not to sell shares for 18 months after the transaction closes.
